Welcome to Big Boy Business (“we”, “our”, “us”). These Terms of Service (“Terms”) govern your use of our services and website. By engaging our services, you (“client”, “you”, “your”) agree to these Terms.

2. Services

We provide social media management and related digital marketing services, which may include:

• Content creation and scheduling.
• Account monitoring and engagement.
• Analytics, reporting, and performance tracking.
• Strategy consultation.

A detailed scope of work will be outlined in your individual contract or proposal.

3. Client Responsibilities

To allow us to deliver services effectively, you agree to:

• Provide accurate and up-to-date information when requested.
• Supply any required brand assets (logos, images, guidelines).
• Grant us access to social media accounts and third-party platforms, where required.
• Ensure you have the right to use all materials you provide (e.g., images, trademarks).
• Review and approve content promptly to avoid delays.

You remain responsible for your social media accounts and any content posted at your instruction.

4. Fees and Payment

• Fees will be outlined in your proposal or service agreement.
• Payment terms are 14 days from invoice date.
• Late payments may incur interest in line with the Late Payment of Commercial Debts (Interest) Act 1998.
• We reserve the right to suspend services if payments are overdue.

5. Intellectual Property

• All content we create specifically for you becomes your property once full payment has been received.
• Our pre-existing materials, templates, and methodologies remain our intellectual property.
• You grant us permission to display non-confidential examples of work created for you in our portfolio and marketing (unless agreed otherwise in writing).

6. Confidentiality

We respect your confidential information and will not disclose it to third parties without your consent, unless required by law.

7. Use of Social Media Platforms

You acknowledge that we do not own or control third-party social media platforms. Therefore, we cannot be held responsible for:

• Service outages, downtime, or changes to platform features.
• Suspension or termination of your accounts by the platform.
• Algorithm changes affecting each, engagement, or performance.

8. Limitation of Liability

• We will provide services with reasonable care and skill, but we cannot guarantee specific outcomes (e.g., follower growth, sales conversions).
• To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages.
• Our total liability to you will not exceed the fees paid for services in the 3 months preceding the claim.

9. Termination

Either party may terminate services by giving 30 days’ written notice.

We may terminate immediately if:

• You fail to pay fees on time.
• You breach these Terms.
• Continuing the contract would cause reputational or legal risk to us.

Upon termination, you must pay for all services delivered up to the termination date.

10. Data Protection

We process personal data in accordance with UK data protection law. Please see our Privacy Policy for details.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may update these Terms from time to time. Any changes will be communicated and published on our website. Continued use of our services after changes constitutes acceptance of the revised Terms.
